TERMS AND CONDITIONS OF THE REAL ESTATE AUCTION 637 Pleasant Street, Walla Walla, Washington 1. SITE INSPECTION AND SALE DOCUMENTS You should personally inspect all properties you are interested in purchasing, including a physical inspection of the premises. You should take the opportunity to look for any and all defects present on the premises including, but not limited to, the existence of lead based paint and lead based paint hazards. The following documents are available and must be thoroughly reviewed for details of the offering: (a) Terms and Conditions of the Real Estate Auction (b) Purchase & Sale Agreement; (c) Terms and Conditions of Purchase and Sale Agreement; (d) Disclosure of Information on Lead-Based Paint and Lead-Based Paint Hazards, Addendum to Purchase and Sale Agreement; (e) Seller Disclosure Statement; (f) Preliminary Title Report; (g) Home Inspection Report & Complete Wood Destroying Organism Inspection Report; (h) The Law of Real Estate Agency; (i) Protect Your Family from Lead in Your Home. The Seller Disclosure Statement is available for each buyer prior to sale. Bidders must specifically waive the right to rescind the Purchase and Sale Agreement pursuant to RCW 64.06 et seq. Bidders are responsible for making their own evaluation of the property and may not rely on the Sellers(s) or sales personnel. Prospective purchasers are advised to seek legal advice in their review of the documents. 2. REGISTRATION AND BIDDING Registration is required to bid. To register contact Macon Brothers Auctioneers by e-mail at macon@bmi.net or call 509-529-7770. Bidders are encouraged to complete registration as soon as they have decided to bid on the property. Upon registration, Bidders must present: 1) a $_10,000.00 deposit in the form of cash, cashiers check or business or personal check, and 2) a signed Purchase and Sale Agreement, Terms and Conditions of Purchase and Sale Agreement and Disclosure of Information on Lead- Based Paint and Lead-Based Paint Hazards, Addendum to Purchase and Sale Agreement. Checks may be made payable in bidder's name or to Walla Walla Title Company and held for presentation by the bidder until they would be become the high bidder. Signed documents are retained by auctioneer until the award of high bid at auction is determined. Unsuccessful bidder's documents will be returned at the conclusion of the Auction or destroyed at the bidder's option. Bidding shall take place at the property, 637 Pleasant Street, Walla Walla, WA at approximately 2:00 P.M., Sunday, December 13, 2020. Bidding increases will be in such increments as the Auctioneer, in his sole discretion, directs. In the event of a dispute between bidders, the Auctioneer shall make the sole and final decision to accept the final bid or to re-offer and re-sell the property in dispute. Upon completion of the bidding, the highest bid will be entered on the Purchase and Sale Agreement, the 10% Buyer's Premium will be added to arrive at the total purchase price and the offer will be presented to the seller(s) for acceptance or rejection. 3. DEPOSIT Upon acceptance of such bid by the Seller, the $_10,000.00, together with an additional deposit, the sum total of which shall be no less than 5% of the total purchase price, will be deposited with the closing agent. The additional deposit may be made by cash or personal or business check. The deposit, once paid, is nonrefundable. 4. BUYER'S PREMIUM A 10% Buyer's Premium shall be added to the high bid to determine the total purchase price. 5. FINANCING All financing arrangements are the sole responsibility of the Buyer(s). Information required to complete loan packages (Preliminary Title Report, etc.) will be provided upon request. Acquiring financing shall not be a contingency of purchase. 6. CLOSING All sales must close on or before the ___45th_________day following Seller's acceptance, unless Buyer(s) receive(s) an extension in writing from the Seller(s). See "Extension." All Buyers are required to pay escrow fees, closing costs and related expenses standard in the industry. 7. EXTENSIONS On a case-by-case basis and at the Seller's sole discretion, the parties may agree to an extension of the closing date. Purchaser should be aware that the Seller may require an additional, non-refundable deposit as an extension fee. Purchaser shall not have an absolute right to an extension. If the sale does not close by the closing date, Seller shall be entitled to remedies as set forth in the Terms and Conditions of Purchase and Sale. Any request for an extension must be made in writing at least five days prior to the scheduled closing date. 8. AS IS, WHERE IS Auction property is being offered "As Is, Where Is." The information contained herein and in all other verbal and printed materials is obtained from sources deemed reliable, and the Seller(s) and the Auctioneer assume that the Buyer(s)is/are relying solely on his/her/its/their own inspection of the property and the materials relating to the Auction. The Auctioneer and its representatives and the Seller(s) and their representatives assume no responsibility for accuracy, errors or omissions. 9. VOLUNTARY SALE The Seller(s) chose the Auction as the best sales method for their property. 10.
