CALL AUCTIONEER FOR REAL ESTATE TERMS. Auction Terms & Conditions TOM HALL AUCTIONS, INC. (�Auctioneer) ONLINE AUCTION USER AGREEMENT Bidder and Auctioneer agree that the terms listed below shall govern this auction sale. This auction will be conducted within the framework of the rules listed below and any other provision that may be added by the auctioneer via e-mail or as posted on its website www.tomhallauctions.com. To register to bid go to www.tomhallauctions.com All registration information that you (also referred to herein as the "Bidder") provides to Auctioneer shall be current, complete, and accurate. Bidders must be 18 years of age or older. Bidder agrees to not use any device, software or routine to interfere or attempt to interfere with the proper working of or any transaction being conducted on and during the auction sale. 1. Access and use of any online auction site of maintained by Auctioneer (the "Site") is subject to any and all specific terms and conditions set forth on any individual page within the Site and the terms and conditions of this User Agreement (the "Site User Agreement") and all applicable laws and regulations, including but not limited to copyright and trademark laws. BY ACCESSING THIS SITE, YOU AGREE TO ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, ALL OF THE TERMS AND CONDITIONS OF THIS USER AGREEMENT and to comply with all applicable laws, statutes, ordinances and regulations regarding your use of this Site. Legal action will be taken against anyone violating the terms and conditions of the Site User Agreement or any other applicable law or regulation. Auctioneer reserves the right to periodically change the terms and conditions of the User Site Agreement and it is the Bidders' responsibility to periodically review any and all changes made to these terms and conditions prior to each use of this Site. By using this Site, you agree in advance to accept any such changes. 2. In order to participate in the auction, online, phone and absentee bidders are required to deliver, no later than 24 hours prior to the auction date, a $20,000 deposit (the �preliminary deposit�), in certified funds, to the Auctioneer�s place of business (4644 Route 309, Schnecksville, PA 18078) either in person or by mail. The Purchaser must deliver the balance of the required Deposit (if any is necessary), in certified funds, within 24 hours of the Auction or (if the Auction occurs on a weekend) by the end of the first business day following the Auction. The Auctioneer shall return to unsuccessful online, phone and absentee bidders their preliminary deposits at the conclusion of the auction. The descriptions of ITEMS/LOTS/REAL PROPERTY appearing in the auction and in advertising prior to the auction are believed to be correct. Nevertheless, neither those descriptions nor any oral statements made by Owner/Seller or Auctioneer concerning any item/lot shall be construed as a warranty either express or implied. ITEMS/LOTS/REAL PROPERTY ARE SOLD AS IS - WHERE IS and WITH ALL FAULTS. Bidder acknowledges that all ITEMS/LOTS/REAL PROPERTY were available for inspection prior to the auction and, by these terms, Auctioneer and Owner/Seller strongly encourage Bidder to carefully inspect each ITEM/LOT/REAL PROPERTY in which Bidder has any interest to determine the ITEM/LOTS/REAL PROPERTY nature, quality, condition, quantity and size. Bidder relies solely on personal inspection and not on information listed on the Site or otherwise provided by Auctioneer or Owner/Seller. Bidder's failure to inspect, or otherwise be fully informed as to the nature, quality, condition, quantity and size of any ITEMS/LOTS/REAL PROPERTY will not constitute ground for any claim, adjustment, refund, termination of the contract for sale, or refusal to close the sale, against Auctioneer or Owner/Seller. Prospective Bidders should satisfy themselves as to condition and must understand that any statement made by Auctioneer or its employees is merely a subjective assessment and not a qualified opinion NOTWITHSTANDING WRITTEN REPORTS OR ANY DISCUSSION CONCERNING CONDITION IN THE CATALOGUE OR ON THE SITE. 4. This User Agreement constitutes the final expression of the parties' agreement and a complete and exclusive statement of the terms of the sale. 5. This User Agreement constitutes a binding agreement between Bidder and Auctioneer until terminated by Auctioneer, which Auctioneer may do at any time, without notice, in Auctioneer�s sole discretion. If Bidder dissatisfaction occurs with the auction sale in any way, Bidder's only recourse is to immediately discontinue use of the auction Site. Auctioneer reserves the right to terminate Bidder registration and use of the auction Site, and impose limits on certain features of the auction Site or restrict Bidder's access to, or use of, part or the entire Site without notice or penalty. 6. Auctioneer cannot, and will not, be held responsible for any interruption in service, errors, and/or omissions, caused by any means and does not guarantee continual, uninterrupted or error free service or use of the Site. Bidder acknowledges that this auction is conducted electronically and relies on hardware and software that may malfunction without warning. The Auctioneer, in its sole discretion, may void any sale, temporarily suspend bidding and re-sell any item/lots that were affected by any malfunction. The decision of the Auctioneer is final, binding and conclusive.� The content displayed on the Site may contain inaccuracies and typographical errors and Auctioneer does not warrant the accuracy or completeness of the content or that any defects will be corrected. Any reliance on any such content, advice, statement, or other information shall be at your sole risk. Auctioneer reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the Site and to make any changes to the features, functionality or content of the Site at any time.� Access to the Site is made available as a convenience and on a temporary basis, and Auctioneer reserves the right to suspend or terminate any aspect or feature of the Site at any time, with or without notice. Without limiting the foregoing, Auctioneer may suspend access to the Site to carry out scheduled or unscheduled maintenance or for any other reason at any time. 7. Auctioneer gathers information about Bidders and Owner/Sellers for the purposes of conducting online auctions. Auctioneer does not sell or rent this information. Auctioneer uses email mailing lists to notify its customers about online and live auctions. If you are receiving a particular mailing and wish to discontinue receiving future mailings, simply forward the received email to Auctioneer to have your name promptly removed from our list. 8. As a Bidder, placing a bid is a binding contract between you and the Owner/Seller and the bid cannot be retracted. Once you place a bid, and if you win, you will be obligated to buy the product/property at the said price you indicated as your bid.�Placing a bid on this Site, and winning, then not paying for the product is illegal, and prosecution can result. The Owner/Sellers of property sold through this Site reserve the right to reject any and all bids, in their sole discretion. Bid Wrangler undertakes the execution of online bidding as a convenience for clients and is not responsible for any inadvertent failure to execute bids, or for any error in the execution of bids. 9. As a Bidder you are responsible for any bids placed under your bidding number and password. The security of your Bidder information is your sole responsibility as you, the Bidder, will be responsible for any and all bids placed under your number. If at any time you feel that your Bidder number and password have been compromised due to lack of security on your part you must notify Auctioneer immediately. 10. You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy the Site or the content contained herein without our prior, express written permission. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any activity being conducted on the Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content from the Site without prior, ex-press written permission of Auctioneer. THE SITE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPOSED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT. 11. No legal advice is intended or implied by anything contained within the Site. No obligation, liability, responsibility, accountability or burden is undertaken, assumed or otherwise imposed by maintaining the Site. 12. Any controversy or claim arising out of or relating to this Site User Agreement shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Allentown, Pennsylvania, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Auctioneer may seek any interim or preliminary relief from a court of competent jurisdiction in Lehigh County, Pennsylvania if necessary to protect the rights or property of Auctioneer pending the completion of arbitration. You and Auctioneer are independent contractors, and no agency, partnership, joint venture, employee or franchiser-franchisee relationship is intended or created by this Agreement 13. This User Agreement and any disputes arising out of or related to the Site shall be governed by and construed and enforced in accordance with the laws of the State of Pennsylvania as applicable to contracts entered into and to be performed entirely within the State of Pennsylvania. If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Auctioneer's failure to act with respect to a breach by you or others does not waive the right to act with respect to subsequent or similar breaches. This User Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. 14. Auctioneer may from time to time make changes to these terms and conditions. Any changes will be posted on the website at www.tomhallauctions.com and Auctioneer will endeavor to notify you of the same by means of a notice and link to the revised terms on the web site. Please review these terms and conditions regularly to ensure you are aware of any changes made by the Auctioneer. If you use the Site after changes have been made and posted, you shall be deemed to have agreed to such changes. If you do not agree to such changes, you should not make any subsequent use of the Site. Your use of this online auction Site constitutes your acceptance in full of this User Agreement and of all terms and conditions contained here-in. Below is an overview of the CONDITIONS OF AUCTION AND AGREEMENT OF SALE.� A copy of the complete CONDITIONS OF AUCTION AND AGREEMENT OF SALE are attached to each property/lot. The Premises is being exposed to public sale by the above named Owner or by Louis E. Hoffman, Executor of the Estate of William R. Mayo herein called the "Seller."� If the Premises consists of multiple parcels with more than one Owner, the multiple Owners shall collectively be the �Seller� and the Seller shall allocate the Purchase Price between the Owners as Seller shall determine. 2. Tom Hall Auctions, Inc. ("Auctioneer") and all licensees employed by or associated with the Auctioneer represent the Seller in the sale of the Premises. 3. The Auctioneer may recess the auction and may use discretion with respect to the minimum amounts at which the bidding may advance. 4. No person shall retract from his or her bid.� Purchaser must be available by cell phone during the conduct of the auction. Further, Purchaser must provide Auctioneer with a valid email address to which Purchaser has access during the conduct of the auction and must provide a copy of his/her driver�s license. 5. If any dispute arises between two or more bidders by reason of a matter not covered by these Conditions, the Premises shall immediately be put up again for sale. 6. For Properties listed as Selling Absolute No Minimum or Reserve -� This is an absolute auction. There is no minimum or reserve.� The highest approved bidder shall be the �Purchaser� and the highest approved bid shall be the �Purchase Price� and these Conditions and the Purchaser's Acknowledgment shall be deemed to constitute the agreement of sale (the "Agreement") between the Seller and the Purchaser.� The Auctioneer's decisions with respect to bidding and all matters in respect of conduct of the Auction shall be final, binding and conclusive in all respects. For Properties listed as Selling with Reserve - - If the highest approved bid for the Premises shall be deemed by the Seller to be insufficient then the Seller shall have, and hereby reserves, the right to reject any and all bids and withdraw the Premises from sale.� Otherwise, the highest approved bidder shall be the "Purchaser," and the highest bid shall be the "Purchase Price," and these Conditions and the Purchaser's Acknowledgment shall be deemed to constitute the agreement of sale (the "Agreement") between the Seller and the Purchaser.� The Auctioneer's decisions with respect to bidding and all Auctions shall be final, binding and conclusive in all respects. 7. Immediately at the conclusion of the Auction: (a) The Purchaser shall pay to the Seller a deposit of at least ten (10%) per cent of the total Purchase Price(s) by good personal check, and Purchaser shall sign a written acknowledgment and acceptance (the �Purchaser�s Acknowledgment�) in the form hereto attached.� NOTE:� If a Purchaser offers a non-personal check (e.g., a business check) as the deposit, the Auctioneer, in his sole discretion, may require proof that the Purchaser is authorized to submit that form of payment. If the Purchaser registers to bid online at tomhallauctions.com, a certified funds or wire transfer deposit of $20,000 shall be required in advance for each property for which Purchaser intends to submit a bid.� NOTE:� Online bidders must specify at the time of registration the identity of those lots for which they intend to submit bids; absent such registration, bids submitted online for which registration has not been made will be blocked.� The required deposit(s) must be payable to Tom Hall Auctions, Inc., and must be received by Tom Hall Auctions, Inc. at 4644 PA Route 309, Schnecksville, PA 18078, no later than 11:00 am on Monday, April 24, 2023, as a prerequisite for obtaining approval to bid online at tomhallauctions.com.� If 10% of the total bid(s) submitted by a successful online bidder is less than the total of his/her advance deposit(s), the differential must be paid to the Auctioneer, via certified funds or wire transfer, within 24 hours following the conclusion of the auction.� Unsuccessful online bidders will receive the return of their deposits within 48 hours following the conclusion of the Auction. (b) The Auctioneer shall act as escrow agent of all deposit money until date of final settlement, and in no way shall be liable other than for disposition of the deposit money.� The deposit money shall be held in a federally insured, non-interest-bearing bank account. 8. All real estate taxes shall be apportioned on the fiscal year basis between the Seller and the Purchaser as of the date of final settlement, and lienable municipal services and/or prepaid utilities (including, but not limited to, refuse collection, water/sewer rents, and the like and if applicable tenant leases) shall be apportioned per diem as of date of final settlement. If the Premises is under a special land use assessment (Act 319 or other special land use assessment) and roll back taxes are assessed due to a change in use by Purchaser, or because the Premises are part of a larger tract for qualification for the special land use assessment, then Buyer shall be solely responsible for any "Roll Back" taxes that may be assessed. 11. All State and local realty transfer taxes will be paid by the Purchaser. 12. Possession of the Premises will be given to the Purchaser at the time of final settlement subject to tenant leases, if applicable. 13. Purchaser, without any reimbursement from Seller, will pay the cost of any survey, the premium for any mechanics lien insurance and/or title insurance, title search, appraisal fees, charges of any title insurance company, fees of any realtor or attorney or other person engaged by Purchaser to perform any services with respect to the purchase of the Premises, fees and charges of any financial institution or lender, and settlement costs and accruals normally payable by a purchaser of real estate. 14. If Purchaser fails to perform any of the terms or conditions of this Agreement the deposit money shall be forfeited and paid by Escrow Agent to Seller as liquidated damages for non-fulfillment of this Agreement and, at the option of Seller, this Agreement shall become null and void, whereupon the Seller shall be free to resell the Premises in any manner as the Seller may so choose. 17. The rights of the Purchaser in this Agreement shall not be assigned or assignable without the prior written consent of Seller.� This Agreement shall be binding upon the parties hereto, and their respective heirs, personal representatives successors and/or permitted assigns, if any. 18. THE PURCHASER IS ADVISED THAT THE IMPROVEMENTS ON THE PREMISES WERE BUILT BEFORE 1978 AND MAY PRESENT EXPOSURE TO LEAD FROM LEAD-BASED PAINT THAT MAY PLACE YOUNG CHILDREN AT RISK OF DEVELOPING LEAD POISONING. LEAD POISONING IN YOUNG CHILDREN MAY PRODUCE PERMANENT NEUROLOGICAL DAMAGE INCLUDING LEARNING DISABILITIES, REDUCED INTELLIGENCE QUOTIENT BEHAVIORAL PROBLEMS AND IMPAIRED MEMORY.� LEAD POISONING ALSO POSES A PARTICULAR RISK TO PREGNANT WOMEN. SELLER HAS NO INFORMATION WITH RESPECT TO THE PREMISES RELATING TO LEAD-BASED PAINT HAZARDS FROM RISK ASSESSMENTS OR INSPECTIONS AND HAS NO KNOWLEDGE OF ANY KNOWN LEAD-BASED PAINT HAZARDS. (�Auctioneer) ONLINE AUCTION USER AGREEMENT Bidder and Auctioneer agree that the terms listed below shall govern this auction sale. This auction will be conducted within the framework of the rules listed below and any other provision that may be added by the auctioneer via e-mail or as posted on its website www.tomhallauctions.com. This User Agreement constitutes the final expression of the parties' agreement and a complete and exclusive statement of the terms of the sale. 5. This User Agreement constitutes a binding agreement between Bidder and Auctioneer until terminated by Auctioneer, which Auctioneer may do at any time, without notice, in Auctioneer�s sole discretion. If Bidder dissatisfaction occurs with the auction sale in any way, Bidder's only recourse is to immediately discontinue use of the auction Site. Auctioneer reserves the right to terminate Bidder registration and use of the auction Site, and impose limits on certain features of the auction Site or restrict Bidder's access to, or use of, part or the entire Site without notice or penalty. 6. Auctioneer cannot, and will not, be held responsible for any interruption in service, errors, and/or omissions, caused by any means and does not guarantee continual, uninterrupted or error free service or use of the Site. Bidder acknowledges that this auction is conducted electronically and relies on hardware and software that may malfunction without warning. The Auctioneer, in its sole discretion, may void any sale, temporarily suspend bidding and re-sell any item/lots that were affected by any malfunction. As a Bidder, placing a bid is a binding contract between you and the Owner/Seller and the bid cannot be retracted. THE SITE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPOSED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT. 11. No legal advice is intended or implied by anything contained within the Site. No obligation, liability, responsibility, accountability or burden is undertaken, assumed or otherwise imposed by maintaining the Site. 12. Any controversy or claim arising out of or relating to this Site User Agreement shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Allentown, Pennsylvania, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Auctioneer may seek any interim or preliminary relief from a court of competent jurisdiction in Lehigh County, Pennsylvania if necessary to protect the rights or property of Auctioneer pending the completion of arbitration. You and Auctioneer are independent contractors, and no agency, partnership, joint venture, employee or franchiser-franchisee relationship is intended or created by this Agreement 13. This User Agreement and any disputes arising out of or related to the Site shall be governed by and construed and enforced in accordance with the laws of the State of Pennsylvania as applicable to contracts entered into and to be performed entirely within the State of Pennsylvania. If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Auctioneer's failure to act with respect to a breach by you or others does not waive the right to act with respect to subsequent or similar breaches. This User Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. 14. Auctioneer may from time to time make changes to these terms and conditions. Any changes will be posted on the website at www.tomhallauctions.com and Auctioneer will endeavor to notify you of the same by means of a notice and link to the revised terms on the web site. Please review these terms and conditions regularly to ensure you are aware of any changes made by the Auctioneer. If you use the Site after changes have been made and posted, you shall be deemed to have agreed to such changes. If you do not agree to such changes, you should not make any subsequent use of the Site. Your use of this online auction Site constitutes your acceptance in full of this User Agreement and of all terms and conditions contained here-in. The Premises is being exposed to public sale by the above named Owner or by Louis E. Hoffman, Executor of the Estate of William R. Mayo herein called the "Seller."� If the Premises consists of multiple parcels with more than one Owner, the multiple Owners shall collectively be the �Seller� and the Seller shall allocate the Purchase Price between the Owners as Seller shall determine. 2. Tom Hall Auctions, Inc. ("Auctioneer") and all licensees employed by or associated with the Auctioneer represent the Seller in the sale of the Premises. 3. The Auctioneer may recess the auction and may use discretion with respect to the minimum amounts at which the bidding may advance. 4. No person shall retract from his or her bid.� Purchaser must be available by cell phone during the conduct of the auction. Further, Purchaser must provide Auctioneer with a valid email address to which Purchaser has access during the conduct of the auction and must provide a copy of his/her driver�s license. 5. If any dispute arises between two or more bidders by reason of a matter not covered by these Conditions, the Premises shall immediately be put up again for sale. 6. For Properties listed as Selling Absolute No Minimum or Reserve -� This is an absolute auction. There is no minimum or reserve.� The highest approved bidder shall be the �Purchaser� and the highest approved bid shall be the �Purchase Price� and these Conditions and the Purchaser's Acknowledgment shall be deemed to constitute the agreement of sale (the "Agreement") between the Seller and the Purchaser.� The Auctioneer's decisions with respect to bidding and all matters in respect of conduct of the Auction shall be final, binding and conclusive in all respects. For Properties listed as Selling with Reserve - - If the highest approved bid for the Premises shall be deemed by the Seller to be insufficient then the Seller shall have, and hereby reserves, the right to reject any and all bids and withdraw the Premises from sale.� Otherwise, the highest approved bidder shall be the "Purchaser," and the highest bid shall be the "Purchase Price," and these Conditions and the Purchaser's Acknowledgment shall be deemed to constitute the agreement of sale (the "Agreement") between the Seller and the Purchaser.� The Auctioneer's decisions with respect to bidding and all Auctions shall be final, binding and conclusive in all respects. 7. Immediately at the conclusion of the Auction: (a) The Purchaser shall pay to the Seller a deposit of at least ten (10%) per cent of the total Purchase Price(s) by good personal check, and Purchaser shall sign a written acknowledgment and acceptance (the �Purchaser�s Acknowledgment�) in the form hereto attached.� NOTE:� If a Purchaser offers a non-personal check (e.g., a business check) as the deposit, the Auctioneer, in his sole discretion, may require proof that the Purchaser is authorized to submit that form of payment. If the Premises is under a special land use assessment (Act 319 or other special land use assessment) and roll back taxes are assessed due to a change in use by Purchaser, or because the Premises are part of a larger tract for qualification for the special land use assessment, then Buyer shall be solely responsible for any "Roll Back" taxes that may be assessed. 11. All State and local realty transfer taxes will be paid by the Purchaser. 12. Purchaser, without any reimbursement from Seller, will pay the cost of any survey, the premium for any mechanics lien insurance and/or title insurance, title search, appraisal fees, charges of any title insurance company, fees of any realtor or attorney or other person engaged by Purchaser to perform any services with respect to the purchase of the Premises, fees and charges of any financial institution or lender, and settlement costs and accruals normally payable by a purchaser of real estate. 14. If Purchaser fails to perform any of the terms or conditions of this Agreement the deposit money shall be forfeited and paid by Escrow Agent to Seller as liquidated damages for non-fulfillment of this Agreement and, at the option of Seller, this Agreement shall become null and void, whereupon the Seller shall be free to resell the Premises in any manner as the Seller may so choose. 17. The rights of the Purchaser in this Agreement shall not be assigned or assignable without the prior written consent of Seller.� This Agreement shall be binding upon the parties hereto, and their respective heirs, personal representatives successors and/or permitted assigns, if any. 18. As a Bidder, placing a bid is a binding contract between you and the Owner/Seller and the bid cannot be retracted. No legal advice is intended or implied by anything contained within the Site. No obligation, liability, responsibility, accountability or burden is undertaken, assumed or otherwise imposed by maintaining the Site. 12. Any controversy or claim arising out of or relating to this Site User Agreement shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Allentown, Pennsylvania, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Auctioneer may seek any interim or preliminary relief from a court of competent jurisdiction in Lehigh County, Pennsylvania if necessary to protect the rights or property of Auctioneer pending the completion of arbitration. You and Auctioneer are independent contractors, and no agency, partnership, joint venture, employee or franchiser-franchisee relationship is intended or created by this Agreement 13. This User Agreement and any disputes arising out of or related to the Site shall be governed by and construed and enforced in accordance with the laws of the State of Pennsylvania as applicable to contracts entered into and to be performed entirely within the State of Pennsylvania. If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Auctioneer's failure to act with respect to a breach by you or others does not waive the right to act with respect to subsequent or similar breaches. This User Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. 14. Auctioneer may from time to time make changes to these terms and conditions. Any changes will be posted on the website at www.tomhallauctions.com and Auctioneer will endeavor to notify you of the same by means of a notice and link to the revised terms on the web site. Please review these terms and conditions regularly to ensure you are aware of any changes made by the Auctioneer. If you use the Site after changes have been made and posted, you shall be deemed to have agreed to such changes. If you do not agree to such changes, you should not make any subsequent use of the Site. Your use of this online auction Site constitutes your acceptance in full of this User Agreement and of all terms and conditions contained here-in. The Premises is being exposed to public sale by the above named Owner or by Louis E. Hoffman, Executor of the Estate of William R. Mayo herein called the "Seller."� If the Premises consists of multiple parcels with more than one Owner, the multiple Owners shall collectively be the �Seller� and the Seller shall allocate the Purchase Price between the Owners as Seller shall determine. 2. Tom Hall Auctions, Inc. ("Auctioneer") and all licensees employed by or associated with the Auctioneer represent the Seller in the sale of the Premises. 3. For Properties listed as Selling Absolute No Minimum or Reserve -� This is an absolute auction. There is no minimum or reserve.� The highest approved bidder shall be the �Purchaser� and the highest approved bid shall be the �Purchase Price� and these Conditions and the Purchaser's Acknowledgment shall be deemed to constitute the agreement of sale (the "Agreement") between the Seller and the Purchaser.� The Auctioneer's decisions with respect to bidding and all matters in respect of conduct of the Auction shall be final, binding and conclusive in all respects. If Purchaser fails to perform any of the terms or conditions of this Agreement the deposit money shall be forfeited and paid by Escrow Agent to Seller as liquidated damages for non-fulfillment of this Agreement and, at the option of Seller, this Agreement shall become null and void, whereupon the Seller shall be free to resell the Premises in any manner as the Seller may so choose. 17. The rights of the Purchaser in this Agreement shall not be assigned or assignable without the prior written consent of Seller.� This Agreement shall be binding upon the parties hereto, and their respective heirs, personal representatives successors and/or permitted assigns, if any. 18.
