The terms and conditions listed here pertain to doing business with Auction Impact, LLC. It is the buyer/seller responsibility to review all terms and conditions prior to conducting commerce on this site. Terms and Conditions of use: Bidder, seller (together referenced as user) and Auction Impact, LLC agree the terms listed below shall govern each auction. All registration information the user provides to Auction Impact, LLC shall be current, complete, and accurate. Users must be 18 years of age older. User agrees to not use any device, software or routine to interfere or attempt to interfere with the proper working of or any transaction being conducted on and during the auction sale. Users acknowledge that this auction is conducted electronically, and the auctioneer/seller and buyer rely on hardware and software that may malfunction without warning. Eligibility of Use: Our services, which include, without limitation, access to our site and online auctions, are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors. Minors can only use our services in conjunction with a parent or legal guardian, who must themselves be able to form a legally binding contract and will be bound by all terms and conditions. Parents and legal guardians are responsible and liable for the activities of any associated minor(s). If you do not qualify as an individual who can form a legally binding contract, do not use our services. Your account and user profile may not be transferred or sold to another party. If you are registering as a business entity, you represent that you have the authority to bind the entity to this agreement, and the only persons who will make use of the account are employees of the business. Auction Procedure: Register and set-a up user profile on the Auction Impact website. Must be 18 years of age or older to hold a valid user profile. Buyers are encouraged to contact the seller in order to inspect item(s) and for greater details and/or disclosure on the item(s) prior to the auction. Highest bidder makes full settlement within 48 hours after the conclusion of the auction Auction Impact LLC reserves the right to revoke any bid number at any time, even during the auction. Item(s) may be removed from the auction site or Seller’s premise upon presentation of paid-in full invoice from Auction Impact LLC. Implied Warranties: EQUIPMENT SELLS AS IS WHERE IS WITHOUT WARRANTIES WITH ALL FAULTS Information that is used by or shared by Auction Impact, LLC. is the individual suppliers and is believed to be honest and correct. Auction Impact LLC, its owners, agents or etc. are not responsible for any misleading information that is mistakenly listed. Auction Impact LLC is not responsible for any failures or lack of expectations on products marketed at this site. To the fullest extent permitted by law, the sites, services, and items sold by or through Auction Impact, LLC are provided without warranties, expressed or implied, of any kind including without limitation implied warranties of non-infringement, merchantability, condition (whether or not discoverable), usability, fitness for a particular purpose, or as to brand, identity or quality of the unit, materials, components, or workmanship. While Auction Impact, LLC makes every effort to represent the equipment to the best of our knowledge, Auction Impact, LLC makes no warranty or guarantee of the equipment. While every effort is made to convey verbal and written information, photos, and descriptions accurately, these are meant to be used only as guidelines for purchase. The descriptions of items appearing in the auction and in advertising prior to this sale are believed to be correct. Nevertheless, neither those descriptions nor any oral statements made by Seller or Auctioneer concerning any item shall be construed as a warranty either express or implied. ITEMS ARE SOLD AS IS - WHERE IS and WITH ALL FAULTS. Bidder acknowledges that all lots were available for inspection prior to the auction and, by these terms, Auctioneer and Seller strongly encouraged Bidder to carefully inspect each lot in which Bidder had any interest to determine the lot's nature, quality and size. Bidders relied solely on personal inspection and not on information listed on the website or otherwise provided by Auctioneer or Seller. If Bidder failed to inspect any lot, this failure to inspect, or otherwise be fully informed as to the lot’s nature, quality, condition, quantity and size will not constitute grounds for any claim, adjustment refund, termination of the contract for sale, or refusal to close the sale. These written terms constitute the final expression of the parties’ agreement and a complete and exclusive statement of the terms of the contract for sale, or refusal to close the sale. The IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ALL OTHER WARRANTIES, EITHER EXPRESSED OR IMPLIED, ARE SPECIFICALLY EXCLUDED from this contract for sale and transaction and shall NOT apply to the merchandise that is the subject of these sales. We do not have control over the items that are posted on the auction site and cannot guarantee the authenticity and quality of said property. We are not responsible for the actions the Sellers and Buyers take before, during, and after the auction, typographical errors, misprints, loss of merchandise/money, damage or failure of equipment, due to your visit to this auction site. Use of this site is at your own risk, and content is presented “As Is”. Specific terms regarding auction location, lot descriptions, payment terms, shipping and delivery, and other important information is located on the first page of each auction. No testing or operational assessments have been made on items sold in an Auction Impact, LLC Auction. Auction Impact, LLC only reports hours and miles that are shown on the meter at the time of listing for auction and makes no guarantees that the miles/hours shown on meter are the actual miles/hours. Bidding: Bidding is done in increments and will vary by item and auction type according to the current price. You are encouraged to bid the maximum amount you are willing to pay for the item (Maximum Bidding). Be aware that you may be outbid minutes/seconds before the close of the auction and may not have the opportunity to enter another bid. You will not automatically receive notification if another bidder outbids your maximum bid via email and/or text message. You will need to monitor the auction activity to stay informed. In the event of a tie, the earlier bid will be considered the winning bid. When bidding ends, all sales shall be considered final. All items are sold “as is”. There are no exchanges or refunds absent and express statements to the contrary expressed herein. A bid by any person shall be deemed conclusive proof that the bidder is familiar with the Terms and Conditions of Use and Auction Rules and that the bidder agrees to be bound by them. Every transmission over the Internet travels a different route and can be delayed by a variety of factors, including the bidder's own computer. The time lapse between submission of a bid and its registration can vary by several seconds. Bid positions are awarded on a first come first served basis. Bids are time stamped with the time received. To be accepted, bids must be received prior to closeout. All bids are subject to a buyers premium of 5% not exceeding $5000 of one bidders gross purchases. Auction Impact, LLC does not guarantee uninterrupted, secure access to Auction Impact.com, Auction Impact, LLC is not liable or responsible for interruptions, terminations, or corruptions of any online audio feed, video feed, or other internet registration, bidding, or other online-related services that occur before, during, or in connection with the online or onsite auctions, regardless of the cause or fault. Auction Impact, LLC reserves the right to prevent, disable, and or suspend users access or use of www.auctionimpact.com or any of the Auction Impact, LLC family of sites, either on a temporary or permanent basis for any reason, including and not limited to the reasons mentioned previously or for any activity that imposes a risk to the safety or security of our site experience. As a Bidder, placing a bid is a binding contract between you and the Seller, and the bid cannot be retracted unless due to fault by the Seller of typographical error, or other error, due to human error on the Seller’s part. Once you place a bid, and if you win, you will be obligated to buy the product at the said price you indicated as your bid. Placing a bid on this auction site, and winning, then not paying for the product is illegal in most states, and prosecution can result. The Seller of property sold through this web site reserves the right to reject any and all bids if they so choose. As a Bidder you are responsible for any bids placed by you or a designated representative under your profile and password. The security of your Bidder information is your sole responsibility. If at any time you feel that your user account and password have been compromised due to lack of security on your part you must notify Auction Impact, LLC immediately. Bidders agree that when using the Maximum Bid feature on our web site they use it according to the specifications we have in place for that feature. Please note that when using the Maximum Bid feature, if you are the current high Bidder and you want to change your Maximum Bid, you will be required to place a new bid in the increment designated for that item in order to raise your Maximum Bid which may cause you to raise your last high bid by one bid increment. You, as a Bidder, understand and agree to how the Maximum Bid feature works if you choose to use it. Auction Types Utilized by Auction Impact: Staggered Sale Ending: WHEN TIME EXPIRES, ALL LOTS ARE DECLARED SOLD! The following illustrates how auctions with staggered closing work.vBidding rules: Stagger at: Item level, Incremental closing time: 5 minutes, Auction extends 3 minutes if new bid, Grace period generally 5 minute extension on Items 1, Item 2, and Item 3, declared opening date and time, declared closing date and time. Progression of events:When the auction opens, the buyers place bids on any of the three items until the closing date. The first item is displayed as the current item for the entire period. Example 1: There is no bidding around the time of auction closing; Item 2 then becomes the current item and closes after 3 minutes; Item 3 then becomes the current item and closes a further 3 minutes after that. Example 2: A bid is received on item 1 on date, at 14:48 hours.The closing time for the first item extends by 5 minutes (due to the grace period). The closing time for the item extends by 3 minutes every time a supplier bids for it, since the auction extends when a new bid is received. A similar cycle occurs for the next two items. The auction closes only when bidding stops and the staggered time interval are over. Racehorse Sale Ending: WHEN TIME EXPIRES, ALL LOTS ARE DECLARED SOLD! ORIGINAL ENDING (Extension) TIMES VARY – SEE EACH SPECIFIC AUCTION FOR DETAILS. EXTENDED BIDDING WILL CONTINUE UNTIL THERE IS NO BIDDING FOR THE ALLOTTED MINUTES. We encourage bidders to use the maximum bid feature earlier in the day to avoid clock management issues in your bidding procedures. With this option, all lots will close simultaneously. A few benefits to this style of auction - Buyer has the CHOICE to switch to any lot in the offering if they are outbid on their current choice; buyer does not have to deal with the "seller's order" of sale because all lots are offered and bid on simultaneously; and the buyer has true choices and more time to make decisions. You can always check the time remaining information that appears under each lot! For each auction, the extended bidding period varies based on the number of lots and overall duration of the auction. **Example 1: Auction closes at 8 PM. There is no bidding from 7:57 PM to 8 PM. All lots are declared closed and the sale ends at 8 PM. **Example 2: Auction closes at 8 PM. There is a bid placed at 7:59 PM. Auction is extended by 3 minutes. No more bidding occurs. All lots are declared closed and the sale ends at 8:02 PM. **Example 3: Auction closes at 8 PM. There is a bid placed at 7:59 PM. Auction is extended by 3 minutes until 8:02 PM. Another bid is placed at 8:01 PM. No more bids are placed. All lots are declared closed and the sale ends at 8:04 PM. Please note the above time schedule is a sample and may or may not match the actual ending times. All auctions will feature the accelerated racehorse style closing. Buy it Now/Click to Claim Sale Ending: Buyer pays a fixed price and buys the item immediately. If an item has not sold within a designated period of time. Sellers may choose to move items to another auction format. Bid Retractions: There are no bid retractions. ALL BIDS ARE NON-CANCELLABLE ONCE SUBMITTED. Once a bid is made and confirmed, it cannot be retracted. When a bid is made you disclose your intent and ability to buy the item at the bid price. A fraudulent bid may result in legal action. Any winning bidder who refuses to purchase the item may be banned from future auctions. Auction Impact, LLC. reserves the right to reject or void bids, whether winning or not, Auction Impact, deems not to have been made in good faith, or that are restricted, prohibited, or taxed due to local laws. Despite efforts to avoid the withdrawal of items from the sale after they are listed it may sometimes be necessary, therefore, the Seller reserves the right to do so at any time before or during the sale. Reserve Price: An auction item may have a reserve price. The reserve price is the lowest price at which an item will be sold. The reserve price is never disclosed to bidders. The item will then be sold to the highest bidder at or above the reserve at the conclusion of the auction. When an article is sold with reserve the auctioneer may bid on the seller’s behalf in an amount not to exceed the reserve price. If the reserve price is not met, the item will not be sold during that auction. The Sellers reserve the right to accept or reject any or all bids unless otherwise stated. DISPUTE HANDLING/LOSS Limit of Liability: In no event shall Auction Impact, LLC. be liable for lost profits or any special, incidental, or consequential damages whatsoever arising, including negligence, arising out of or in connection with any sale. Auction Impact, LLC reserves the right to reject or void bids, whether winning or not, that Auction Impact, LLC deems not to have been made in good faith, or that are restricted, prohibited, or taxed due to local laws. Auction Impact, LLC is the one and only judge regarding the determination of winning bidders, are the single deciding authority if dispute should arise, and accept no liability for any errors or omissions. Auctioneer reserves the right to reopen bidding on any disputed bids or ties. Auction Impact, LLC reserves the right to postpone or cancel a sale without notice, if determined in our discretion that such action is appropriate. Auction Impact, LLC will neither have the liability nor obligation to the intended bidders as a result of any withdrawal, cancellation, or postponement of sale. Auction Impact, LLC makes no warranties or guarantees on items sold on Auction Impact website. Auction Impact, LLC, to the best of its ability, will assist a buyer and seller in helping to resolve a dispute. However, ultimately, resolutions are the responsibility of the buyer and the seller. To be investigated, a dispute must be submitted in writing using an Auction Impact, LLC dispute form, within 7 calendar days of winning the item in auction. To obtain a dispute form, contact Auction Impact, LLC Customer Service. Once the form is sent, the buyer must return the completed dispute form and any supporting information within 48 hours. Disputes received in by Auction Impact, LLC office later than 7 days after sold in the auction will not be considered. Risk of Loss It is the buyer's responsibility to pick up or arrange pick up of items purchased in auction within fourteen (14) calendar days of winning the bid. The Seller is responsible for maintaining items sold in auction in the same condition as when listed, for fourteen (14) calendar days of winning the bid or until such a point the Buyer or the buyer’s agent picks the item up, whichever comes first. After fourteen (14) calendar days of winning the bid or the time of pick up, whichever comes first, the buyer assumes full responsibility for delivery and all ownership risks including, but not limited to, loss from accident, theft, vandalism, fire, lack of security, malicious mischief, flood, windstorm, earthquake, lightning, and all other acts of God. SALE SETTLEMENT PROCEDURES: Bidder/Buyers The successful bidder is responsible for making full payment within 48 hours following the close of the auction, as well as removal of the item after payment has been received unless otherwise arranged between buyer and seller. After the entire auction is completed and processed, winning bidders, i.e., buyers will receive an email notice with instructions on viewing their invoice online. This usually occurs within 1-hour of the auction close but may take slightly longer after later auctions. Buyers will receive a courtesy call verifying payment, pick-up/delivery options and ownership verification for all titlework the next day following the auction or Monday following weekend closings. If you do not receive an expected invoice before the end of the auction business day, you may contact Auction Impact, LLC to verify the buyer's account and obtain access to the invoice. Payment instructions are provided on the invoice. All payments are to be made to the Auction Impact, LLC by cash, check with bank verification, by wire transfer or by an ACH payment and must be made in United States Currency (U.S. Dollar). If sending a check via USPS it must be postmarked within 24 hours with tracking information provided to Auction Impact, LLC by the close of the auction and received by Auction Impact, LLC within 48 hours or an alternate form of payment will be required. Payments can be made by credit card (American Express, MasterCard, Visa, or Discover) for Auction purchases, however, a (3%) percent convenience fee will apply to credit card payments.Credit card payments will be administered through a third party, Converge for Auction Impact, LLC. Converge will receive the card information. To keep financial data secure, Auction Impact LLC does not store any credit card information on Auction Impact, LLC servers. Payments can be made via ACH for auction purchases, no convenience fee will apply to ACH payments. Depending on sale total, verification of funds may be required before ACH is accepted as a means of payment. ACH payments will be administered through a third party, First Merchants Bank, for Auction Impact, LLC. First Merchants will receive the banking information. To keep financial data secure, Auction Impact, LLC does not store any banking information on Auction Impact servers. International Bidders/Buyers Any buyer registering outside the Continental United States (US) or relying on financial transactions for auction payment outside the US, will be considered an International buyer and subject to the following terms: All payments are required within the 48-hour deadline following the close of the auction via bank wire or a buyer initiated ACH payment and will include the invoice amount plus a $50 processing fee. Depending on sale total, verification of funds may be required before ACH is accepted as a means of payment. Payments may also be made by credit card (MasterCard, Visa, or Discover) for Auction purchases less than $5,000, however,a (5%) percent convenience fee will apply to credit cards for Auction Impact, LLC. Converge will receive the card information. To keep financial data secure, Auction Impact, LLC does not store any credit card information on Auction Impact, LLC servers. Bidding and payments are in United States currency (US) and are to be funded by either a US account or a US intermediary account. There are no exceptions or extensions, so plan accordingly for any international holiday that may prevent the buyer from making payment as agreed. Only US holidays that would close US financial institutions are recognized. Proof of identity and US funded financial contact information may also be required upon successful registration. No changes to invoices for export are permitted following the auction, so accounts need to be established using the same name and address as pertains to the buyer exportation information and sales tax documentation. All customs requirements or transportation needed for an international purchase needs to be completed within the 14-days. Auction Impact, LLC or seller may charge a storage fee of $50 per day until purchase is removed from the seller's location. All such charges shall be the sole responsibility of the buyer. The buyer agrees to indemnify and hold harmless seller, Auction Impact and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage and removal. As we are restricted for resale purposes for US based sales only you as an international buyer forfeit rights to the item if not removed as agreed and ownership will return to the seller immediately for disposal at their discretion. Auction Impact, LLC also maintains the right to suspend the bidding privileges of any buyer who does not pick up items purchased in the auction within the specified terms. Entering into a separate storage agreement with the seller is between the buyer and seller, and Auction Impact, LLC has no responsibility for resolving any subsequent conflicts or disagreements which arise between buyer and seller. Collapsed Sale A "Collapsed Sale" shall be a sale that for any reason becomes null and void. You acknowledge that Auction Impact, LLC reserves the right to collapse any sale between you and the Seller for any reason and may return any or all funds to you. Failure to Pay/Default of Purchase:
 If any person shall purchase a lot and fail to pay for it in the manner described above, the seller shall have, in addition to all of legal rights, the right to resell the lot, or at seller’s option, bring an action for specific performance, in which event the defaulting buyer agrees to pay all costs of such suit, together with all reasonable attorney’s fees and costs. In the event of a resale, the defaulting buyer agrees to pay all costs of resale, plus any deficiency between the original purchase price and the total price upon resale and reimburse Auction Impact, LLC for all reasonable legal fees and expenses connected with said suit. Indemnification: Buyers and Sellers agree to indemnify and hold this auction site, its parents, subsidiaries, affiliates, officers, and employees, harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of Buyers and Sellers use of the service, the violation of these terms of service by member, or the infringement by member, or other user of the service using member’s computer, of any intellectual property or other right of any person or entity. Equipment Removal Buyer agrees to remove purchase from seller’s location within fourteen (14) calendar days of winning the bid. Transportation, and any and all costs associated, will be borne by the buyer. Should the buyer fail to remove the purchase within the specified period of time, Auction Impact, LLC or seller may charge a storage fee of $25 per day until purchase is removed from seller’s location. All such charges shall be the sole responsibility of the buyer. The buyer or the buyer’s agent is responsible for arriving with a paid in full invoice and the appropriate equipment to safely transport the item purchased. If the transportation equipment to be used is viewed as unsafe, the buyer or the buyer’s agent may be turned away without the item, at the buyer’s expense. The buyer agrees to indemnify and hold harmless seller, Auction Impact, LLC, and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage and removal. If the buyer does not remove the item within thirty (30) days, the item may be placed for sale in the next available Auction Impact, LLC Auction. Auction Impact, LLC maintains the right to suspend the bidding privileges of any buyer who does not pick up items purchased in the auction within the specified terms. Abandonments: Should the buyer fail to remove the purchased item(s) within fourteen (14) calendar days of winning the bid, buyer agrees to pay a storage fee of $25 per day until the item(s) is/are removed from seller’s location. All such charges shall be the sole responsibility of the buyer and paid directly to the seller. The buyer agrees to indemnify and hold harmless; seller, Auction Impact,LLC and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage. If buyer fails to remove the purchased item(s) within thirty (30) calendar days of winning the bid, buyer stipulates and consents to the fact that said purchased item(s) shall be considered “abandoned”. Entering into a separate storage agreement with the seller is between the buyer and seller, and Auction Impact, LLC has no responsibility for resolving any subsequent conflicts or disagreements which arise between buyer and seller. Certificate of Title Information: Buyer appoints Auction Impact, LLC as its agent to accept delivery of the properly executed, marketable state-issued Certificate of Title with recorded liens properly released. Buyer will be contacted the day of the auction via email regarding titling information. Auction Impact, LLC requires all title information including name(s) and complete address be communicated through email or any other written form, for our records. All titles will be endorsed as directed – no open titles will be issued. Title will be forwarded to the buyer via certified US Mail or equivalent no sooner than fourteen (14) days after receipt of complete payment, unless otherwise noted in item description, regardless of payment type. There is a $25 title processing fee, charged to the buyer, on all titled items. Auction Impact, LLC is not responsible for any lost titles. Tax, Licenses: All sales are subject to the sales tax and/or other applicable tax laws.Buyer assumes all responsibility for government issued licenses and/or inspection certificates as well as all required or associated licensing and inspection costs. Buyer agrees not to use any identification, trade name,licenses, and/or certificates belonging to or used by seller or Auction Impact, LLC. Sales Tax: The buyer is responsible for all applicable sales tax on items purchased in an Auction Impact, LLC Auction. Sales tax guidelines from the applicable state will be used to determine if an item is sales tax exempt. If the exempt determination is made, the buyer will be responsible for obtaining, completing, and forwarding all necessary forms from the taxing jurisdiction (e.g., city, county, state) to Auction Impact, LLC. All tax documentation must match the buyer’s account details and invoices cannot be changed after the auction has closed. Sales tax can only be cleared from the buyer’s invoice once all required forms have been completed, submitted, and validated. Sales tax or appropriate sales tax exemption forms are due within the 48-hour payment deadline. No items will be released to the buyer until payment is received in full by Auction Impact, LLC. Payment in full includes the payment of all applicable sales tax or the submission of all appropriate sales tax exemption forms. Legal Compliance: Users shall comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding their use of our service and their bidding on, listing, purchase, solicitation of offers to purchase and sale of items. User acknowledges and agrees that they are being provided with a non-exclusive, limited, and revocable license to make use of the services, which includes, without limitation, access to our site and online auction, and use of associated software. In making use of the services, you may have access to information that is confidential and proprietary to Auction Impact, LLC and/or its licensors, and may include trademarks, copyrights, and/or trade secrets. Users agree that they will not seek to reproduce, perform, display, distribute, copy, reverse engineer, decompile, disassemble, or prepare derivative works from any content that belongs to Auction Impact, LLC or is accessible from its sites, online auctions, or other services. Users will not make any use of the logos or brand name of Auction Impact, LLC or suggest any affiliation, sponsorship, or approval between its organization and Auction Impact, LLC unless otherwise permitted in writing. User agrees that you will not seek to commercialize any information, data, or software associated with the site, software, or services, except with the prior written permission of Auction Impact, LLC. Users agree that they will not use any robot, spider, scraper, data mining tools, data gathering and/or extraction tools, or other automated means to access any data or information contained on the site or software. Users will not otherwise seek to collect or use information that may pertain to, belong to, or refer to other users of the site, online auctions, or services. Users agree that they will not seek to interfere with the functioning of our site, auction or service, they will not seek to circumvent any technical measures, security measures, or authentication measures, and they will not distribute viruses or any technology that may harm the site, auction, or otherwise injure the interests of Auction Impact, LLC or other users of the site, auction, or services. Users and Auction Impact, LLC are independent contractors, and no agency, partnership, joint venture, employee- employer, or franchisor- franchisee relationship is intended or created by this agreement. Arbitration, Jurisdiction and Venue: Any legal action commenced by either party to resolve any dispute arising under this Agreement will be resolved only in the courts of the State of Indiana, County of Hamilton or in the courts of the United States of America for the District of Indiana, County of Hamilton. Each party irrevocably submits to the personal jurisdiction of such courts and hereby waives any and all objections as to venue, inconvenient forum, and the like. This agreement shall be governed in all respects by the laws of the State of Indiana as such laws are applied to agreements entered into and to be performed entirely within Indiana between Indiana residents. The following illustrates how auctions with staggered closing work.vBidding rules: Stagger at: Item level, Incremental closing time: 5 minutes, Auction extends 3 minutes if new bid, Grace period generally 5 minute extension on Items 1, Item 2, and Item 3, declared opening date and time, declared closing date and time. Progression of events:When the auction opens, the buyers place bids on any of the three items until the closing date. The first item is displayed as the current item for the entire period. Example 1: There is no bidding around the time of auction closing; Item 2 then becomes the current item and closes after 3 minutes; Item 3 then becomes the current item and closes a further 3 minutes after that. Example 2: A bid is received on item 1 on date, at 14:48 hours.The closing time for the first item extends by 5 minutes (due to the grace period). The closing time for the item extends by 3 minutes every time a supplier bids for it, since the auction extends when a new bid is received. A similar cycle occurs for the next two items. Despite efforts to avoid the withdrawal of items from the sale after they are listed it may sometimes be necessary, therefore, the Seller reserves the right to do so at any time before or during the sale. Reserve Price: An auction item may have a reserve price. The reserve price is the lowest price at which an item will be sold. The reserve price is never disclosed to bidders. The item will then be sold to the highest bidder at or above the reserve at the conclusion of the auction. When an article is sold with reserve the auctioneer may bid on the seller’s behalf in an amount not to exceed the reserve price. If the reserve price is not met, the item will not be sold during that auction. The Sellers reserve the right to accept or reject any or all bids unless otherwise stated. DISPUTE HANDLING/LOSS Limit of Liability: In no event shall Auction Impact, LLC. be liable for lost profits or any special, incidental, or consequential damages whatsoever arising, including negligence, arising out of or in connection with any sale. Auction Impact, LLC reserves the right to reject or void bids, whether winning or not, that Auction Impact, LLC deems not to have been made in good faith, or that are restricted, prohibited, or taxed due to local laws. Auction Impact, LLC is the one and only judge regarding the determination of winning bidders, are the single deciding authority if dispute should arise, and accept no liability for any errors or omissions. Auctioneer reserves the right to reopen bidding on any disputed bids or ties. Auction Impact, LLC reserves the right to postpone or cancel a sale without notice, if determined in our discretion that such action is appropriate. Auction Impact, LLC will neither have the liability nor obligation to the intended bidders as a result of any withdrawal, cancellation, or postponement of sale. Auction Impact, LLC makes no warranties or guarantees on items sold on Auction Impact website. Auction Impact, LLC, to the best of its ability, will assist a buyer and seller in helping to resolve a dispute. However, ultimately, resolutions are the responsibility of the buyer and the seller. To be investigated, a dispute must be submitted in writing using an Auction Impact, LLC dispute form, within 7 calendar days of winning the item in auction. To obtain a dispute form, contact Auction Impact, LLC Customer Service. Once the form is sent, the buyer must return the completed dispute form and any supporting information within 48 hours. Disputes received in by Auction Impact, LLC office later than 7 days after sold in the auction will not be considered. Risk of Loss It is the buyer's responsibility to pick up or arrange pick up of items purchased in auction within fourteen (14) calendar days of winning the bid. The Seller is responsible for maintaining items sold in auction in the same condition as when listed, for fourteen (14) calendar days of winning the bid or until such a point the Buyer or the buyer’s agent picks the item up, whichever comes first. After fourteen (14) calendar days of winning the bid or the time of pick up, whichever comes first, the buyer assumes full responsibility for delivery and all ownership risks including, but not limited to, loss from accident, theft, vandalism, fire, lack of security, malicious mischief, flood, windstorm, earthquake, lightning, and all other acts of God. SALE SETTLEMENT PROCEDURES: Bidder/Buyers The successful bidder is responsible for making full payment within 48 hours following the close of the auction, as well as removal of the item after payment has been received unless otherwise arranged between buyer and seller. After the entire auction is completed and processed, winning bidders, i.e., buyers will receive an email notice with instructions on viewing their invoice online. This usually occurs within 1-hour of the auction close but may take slightly longer after later auctions. Buyers will receive a courtesy call verifying payment, pick-up/delivery options and ownership verification for all titlework the next day following the auction or Monday following weekend closings. If you do not receive an expected invoice before the end of the auction business day, you may contact Auction Impact, LLC to verify the buyer's account and obtain access to the invoice. Payment instructions are provided on the invoice. All payments are to be made to the Auction Impact, LLC by cash, check with bank verification, by wire transfer or by an ACH payment and must be made in United States Currency (U.S. Dollar). If sending a check via USPS it must be postmarked within 24 hours with tracking information provided to Auction Impact, LLC by the close of the auction and received by Auction Impact, LLC within 48 hours or an alternate form of payment will be required. Payments can be made by credit card (American Express, MasterCard, Visa, or Discover) for Auction purchases, however, a (3%) percent convenience fee will apply to credit card payments.Credit card payments will be administered through a third party, Converge for Auction Impact, LLC. Converge will receive the card information. To keep financial data secure, Auction Impact LLC does not store any credit card information on Auction Impact, LLC servers. Payments can be made via ACH for auction purchases, no convenience fee will apply to ACH payments. Depending on sale total, verification of funds may be required before ACH is accepted as a means of payment. ACH payments will be administered through a third party, First Merchants Bank, for Auction Impact, LLC. First Merchants will receive the banking information. To keep financial data secure, Auction Impact, LLC does not store any banking information on Auction Impact servers. International Bidders/Buyers Any buyer registering outside the Continental United States (US) or relying on financial transactions for auction payment outside the US, will be considered an International buyer and subject to the following terms: All payments are required within the 48-hour deadline following the close of the auction via bank wire or a buyer initiated ACH payment and will include the invoice amount plus a $50 processing fee. Depending on sale total, verification of funds may be required before ACH is accepted as a means of payment. Payments may also be made by credit card (MasterCard, Visa, or Discover) for Auction purchases less than $5,000, however,a (5%) percent convenience fee will apply to credit cards for Auction Impact, LLC. Converge will receive the card information. To keep financial data secure, Auction Impact, LLC does not store any credit card information on Auction Impact, LLC servers. Bidding and payments are in United States currency (US) and are to be funded by either a US account or a US intermediary account. There are no exceptions or extensions, so plan accordingly for any international holiday that may prevent the buyer from making payment as agreed. Only US holidays that would close US financial institutions are recognized. Proof of identity and US funded financial contact information may also be required upon successful registration. No changes to invoices for export are permitted following the auction, so accounts need to be established using the same name and address as pertains to the buyer exportation information and sales tax documentation. All customs requirements or transportation needed for an international purchase needs to be completed within the 14-days. Auction Impact, LLC or seller may charge a storage fee of $50 per day until purchase is removed from the seller's location. All such charges shall be the sole responsibility of the buyer. The buyer agrees to indemnify and hold harmless seller, Auction Impact and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage and removal. As we are restricted for resale purposes for US based sales only you as an international buyer forfeit rights to the item if not removed as agreed and ownership will return to the seller immediately for disposal at their discretion. Auction Impact, LLC also maintains the right to suspend the bidding privileges of any buyer who does not pick up items purchased in the auction within the specified terms. Entering into a separate storage agreement with the seller is between the buyer and seller, and Auction Impact, LLC has no responsibility for resolving any subsequent conflicts or disagreements which arise between buyer and seller. Collapsed Sale A "Collapsed Sale" shall be a sale that for any reason becomes null and void. You acknowledge that Auction Impact, LLC reserves the right to collapse any sale between you and the Seller for any reason and may return any or all funds to you. Failure to Pay/Default of Purchase:
 If any person shall purchase a lot and fail to pay for it in the manner described above, the seller shall have, in addition to all of legal rights, the right to resell the lot, or at seller’s option, bring an action for specific performance, in which event the defaulting buyer agrees to pay all costs of such suit, together with all reasonable attorney’s fees and costs. In the event of a resale, the defaulting buyer agrees to pay all costs of resale, plus any deficiency between the original purchase price and the total price upon resale and reimburse Auction Impact, LLC for all reasonable legal fees and expenses connected with said suit. Indemnification: Buyers and Sellers agree to indemnify and hold this auction site, its parents, subsidiaries, affiliates, officers, and employees, harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of Buyers and Sellers use of the service, the violation of these terms of service by member, or the infringement by member, or other user of the service using member’s computer, of any intellectual property or other right of any person or entity. Equipment Removal Buyer agrees to remove purchase from seller’s location within fourteen (14) calendar days of winning the bid. Transportation, and any and all costs associated, will be borne by the buyer. Should the buyer fail to remove the purchase within the specified period of time, Auction Impact, LLC or seller may charge a storage fee of $25 per day until purchase is removed from seller’s location. All such charges shall be the sole responsibility of the buyer. The buyer or the buyer’s agent is responsible for arriving with a paid in full invoice and the appropriate equipment to safely transport the item purchased. If the transportation equipment to be used is viewed as unsafe, the buyer or the buyer’s agent may be turned away without the item, at the buyer’s expense. The buyer agrees to indemnify and hold harmless seller, Auction Impact, LLC, and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage and removal. If the buyer does not remove the item within thirty (30) days, the item may be placed for sale in the next available Auction Impact, LLC Auction. Auction Impact, LLC maintains the right to suspend the bidding privileges of any buyer who does not pick up items purchased in the auction within the specified terms. Abandonments: Should the buyer fail to remove the purchased item(s) within fourteen (14) calendar days of winning the bid, buyer agrees to pay a storage fee of $25 per day until the item(s) is/are removed from seller’s location. All such charges shall be the sole responsibility of the buyer and paid directly to the seller. The buyer agrees to indemnify and hold harmless; seller, Auction Impact,LLC and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage. If buyer fails to remove the purchased item(s) within thirty (30) calendar days of winning the bid, buyer stipulates and consents to the fact that said purchased item(s) shall be considered “abandoned”. Entering into a separate storage agreement with the seller is between the buyer and seller, and Auction Impact, LLC has no responsibility for resolving any subsequent conflicts or disagreements which arise between buyer and seller. Certificate of Title Information: Buyer appoints Auction Impact, LLC as its agent to accept delivery of the properly executed, marketable state-issued Certificate of Title with recorded liens properly released. Buyer will be contacted the day of the auction via email regarding titling information. Auction Impact, LLC requires all title information including name(s) and complete address be communicated through email or any other written form, for our records. All titles will be endorsed as directed – no open titles will be issued. Title will be forwarded to the buyer via certified US Mail or equivalent no sooner than fourteen (14) days after receipt of complete payment, unless otherwise noted in item description, regardless of payment type. There is a $25 title processing fee, charged to the buyer, on all titled items. Auction Impact, LLC is not responsible for any lost titles. Tax, Licenses: All sales are subject to the sales tax and/or other applicable tax laws.Buyer assumes all responsibility for government issued licenses and/or inspection certificates as well as all required or associated licensing and inspection costs. Buyer agrees not to use any identification, trade name,licenses, and/or certificates belonging to or used by seller or Auction Impact, LLC. Sales Tax: The buyer is responsible for all applicable sales tax on items purchased in an Auction Impact, LLC Auction. Sales tax guidelines from the applicable state will be used to determine if an item is sales tax exempt. If the exempt determination is made, the buyer will be responsible for obtaining, completing, and forwarding all necessary forms from the taxing jurisdiction (e.g., city, county, state) to Auction Impact, LLC. All tax documentation must match the buyer’s account details and invoices cannot be changed after the auction has closed. Sales tax can only be cleared from the buyer’s invoice once all required forms have been completed, submitted, and validated. Example 1: There is no bidding around the time of auction closing; Item 2 then becomes the current item and closes after 3 minutes; Item 3 then becomes the current item and closes a further 3 minutes after that. Example 2: A bid is received on item 1 on date, at 14:48 hours.The closing time for the first item extends by 5 minutes (due to the grace period). Reserve Price: An auction item may have a reserve price. The reserve price is the lowest price at which an item will be sold. The reserve price is never disclosed to bidders. The item will then be sold to the highest bidder at or above the reserve at the conclusion of the auction. When an article is sold with reserve the auctioneer may bid on the seller’s behalf in an amount not to exceed the reserve price. If the reserve price is not met, the item will not be sold during that auction. The Sellers reserve the right to accept or reject any or all bids unless otherwise stated. DISPUTE HANDLING/LOSS Limit of Liability: In no event shall Auction Impact, LLC. be liable for lost profits or any special, incidental, or consequential damages whatsoever arising, including negligence, arising out of or in connection with any sale. Auction Impact, LLC reserves the right to reject or void bids, whether winning or not, that Auction Impact, LLC deems not to have been made in good faith, or that are restricted, prohibited, or taxed due to local laws. Auction Impact, LLC is the one and only judge regarding the determination of winning bidders, are the single deciding authority if dispute should arise, and accept no liability for any errors or omissions. Auctioneer reserves the right to reopen bidding on any disputed bids or ties. Auction Impact, LLC reserves the right to postpone or cancel a sale without notice, if determined in our discretion that such action is appropriate. Auction Impact, LLC will neither have the liability nor obligation to the intended bidders as a result of any withdrawal, cancellation, or postponement of sale. Auction Impact, LLC makes no warranties or guarantees on items sold on Auction Impact website. Auction Impact, LLC, to the best of its ability, will assist a buyer and seller in helping to resolve a dispute. However, ultimately, resolutions are the responsibility of the buyer and the seller. To be investigated, a dispute must be submitted in writing using an Auction Impact, LLC dispute form, within 7 calendar days of winning the item in auction. To obtain a dispute form, contact Auction Impact, LLC Customer Service. Once the form is sent, the buyer must return the completed dispute form and any supporting information within 48 hours. Disputes received in by Auction Impact, LLC office later than 7 days after sold in the auction will not be considered. Risk of Loss It is the buyer's responsibility to pick up or arrange pick up of items purchased in auction within fourteen (14) calendar days of winning the bid. The Seller is responsible for maintaining items sold in auction in the same condition as when listed, for fourteen (14) calendar days of winning the bid or until such a point the Buyer or the buyer’s agent picks the item up, whichever comes first. After fourteen (14) calendar days of winning the bid or the time of pick up, whichever comes first, the buyer assumes full responsibility for delivery and all ownership risks including, but not limited to, loss from accident, theft, vandalism, fire, lack of security, malicious mischief, flood, windstorm, earthquake, lightning, and all other acts of God. SALE SETTLEMENT PROCEDURES: Bidder/Buyers The successful bidder is responsible for making full payment within 48 hours following the close of the auction, as well as removal of the item after payment has been received unless otherwise arranged between buyer and seller. After the entire auction is completed and processed, winning bidders, i.e., buyers will receive an email notice with instructions on viewing their invoice online. This usually occurs within 1-hour of the auction close but may take slightly longer after later auctions. Buyers will receive a courtesy call verifying payment, pick-up/delivery options and ownership verification for all titlework the next day following the auction or Monday following weekend closings. If you do not receive an expected invoice before the end of the auction business day, you may contact Auction Impact, LLC to verify the buyer's account and obtain access to the invoice. Payment instructions are provided on the invoice. All payments are to be made to the Auction Impact, LLC by cash, check with bank verification, by wire transfer or by an ACH payment and must be made in United States Currency (U.S. Dollar). If sending a check via USPS it must be postmarked within 24 hours with tracking information provided to Auction Impact, LLC by the close of the auction and received by Auction Impact, LLC within 48 hours or an alternate form of payment will be required. Payments can be made by credit card (American Express, MasterCard, Visa, or Discover) for Auction purchases, however, a (3%) percent convenience fee will apply to credit card payments.Credit card payments will be administered through a third party, Converge for Auction Impact, LLC. Converge will receive the card information. To keep financial data secure, Auction Impact LLC does not store any credit card information on Auction Impact, LLC servers. Payments can be made via ACH for auction purchases, no convenience fee will apply to ACH payments. Depending on sale total, verification of funds may be required before ACH is accepted as a means of payment. ACH payments will be administered through a third party, First Merchants Bank, for Auction Impact, LLC. First Merchants will receive the banking information. To keep financial data secure, Auction Impact, LLC does not store any banking information on Auction Impact servers. International Bidders/Buyers Any buyer registering outside the Continental United States (US) or relying on financial transactions for auction payment outside the US, will be considered an International buyer and subject to the following terms: All payments are required within the 48-hour deadline following the close of the auction via bank wire or a buyer initiated ACH payment and will include the invoice amount plus a $50 processing fee. Depending on sale total, verification of funds may be required before ACH is accepted as a means of payment. Payments may also be made by credit card (MasterCard, Visa, or Discover) for Auction purchases less than $5,000, however,a (5%) percent convenience fee will apply to credit cards for Auction Impact, LLC. Converge will receive the card information. To keep financial data secure, Auction Impact, LLC does not store any credit card information on Auction Impact, LLC servers. Bidding and payments are in United States currency (US) and are to be funded by either a US account or a US intermediary account. There are no exceptions or extensions, so plan accordingly for any international holiday that may prevent the buyer from making payment as agreed. Only US holidays that would close US financial institutions are recognized. Proof of identity and US funded financial contact information may also be required upon successful registration. No changes to invoices for export are permitted following the auction, so accounts need to be established using the same name and address as pertains to the buyer exportation information and sales tax documentation. All customs requirements or transportation needed for an international purchase needs to be completed within the 14-days. Auction Impact, LLC or seller may charge a storage fee of $50 per day until purchase is removed from the seller's location. All such charges shall be the sole responsibility of the buyer. The buyer agrees to indemnify and hold harmless seller, Auction Impact and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage and removal. As we are restricted for resale purposes for US based sales only you as an international buyer forfeit rights to the item if not removed as agreed and ownership will return to the seller immediately for disposal at their discretion. Auction Impact, LLC also maintains the right to suspend the bidding privileges of any buyer who does not pick up items purchased in the auction within the specified terms. Entering into a separate storage agreement with the seller is between the buyer and seller, and Auction Impact, LLC has no responsibility for resolving any subsequent conflicts or disagreements which arise between buyer and seller. Collapsed Sale A "Collapsed Sale" shall be a sale that for any reason becomes null and void. You acknowledge that Auction Impact, LLC reserves the right to collapse any sale between you and the Seller for any reason and may return any or all funds to you. Failure to Pay/Default of Purchase:
 If any person shall purchase a lot and fail to pay for it in the manner described above, the seller shall have, in addition to all of legal rights, the right to resell the lot, or at seller’s option, bring an action for specific performance, in which event the defaulting buyer agrees to pay all costs of such suit, together with all reasonable attorney’s fees and costs. In the event of a resale, the defaulting buyer agrees to pay all costs of resale, plus any deficiency between the original purchase price and the total price upon resale and reimburse Auction Impact, LLC for all reasonable legal fees and expenses connected with said suit. Indemnification: Buyers and Sellers agree to indemnify and hold this auction site, its parents, subsidiaries, affiliates, officers, and employees, harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of Buyers and Sellers use of the service, the violation of these terms of service by member, or the infringement by member, or other user of the service using member’s computer, of any intellectual property or other right of any person or entity. Equipment Removal Buyer agrees to remove purchase from seller’s location within fourteen (14) calendar days of winning the bid. Transportation, and any and all costs associated, will be borne by the buyer. Should the buyer fail to remove the purchase within the specified period of time, Auction Impact, LLC or seller may charge a storage fee of $25 per day until purchase is removed from seller’s location. All such charges shall be the sole responsibility of the buyer. The buyer or the buyer’s agent is responsible for arriving with a paid in full invoice and the appropriate equipment to safely transport the item purchased. If the transportation equipment to be used is viewed as unsafe, the buyer or the buyer’s agent may be turned away without the item, at the buyer’s expense. The buyer agrees to indemnify and hold harmless seller, Auction Impact, LLC, and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage and removal. If the buyer does not remove the item within thirty (30) days, the item may be placed for sale in the next available Auction Impact, LLC Auction. Auction Impact, LLC maintains the right to suspend the bidding privileges of any buyer who does not pick up items purchased in the auction within the specified terms. Abandonments: Should the buyer fail to remove the purchased item(s) within fourteen (14) calendar days of winning the bid, buyer agrees to pay a storage fee of $25 per day until the item(s) is/are removed from seller’s location. All such charges shall be the sole responsibility of the buyer and paid directly to the seller. The buyer agrees to indemnify and hold harmless; seller, Auction Impact,LLC and its agents against all damages, liabilities, claims, or causes of action arising out of said property storage. If buyer fails to remove the purchased item(s) within thirty (30) calendar days of winning the bid, buyer stipulates and consents to the fact that said purchased item(s) shall be considered “abandoned”. Entering into a separate storage agreement with the seller is between the buyer and seller, and Auction Impact, LLC has no responsibility for resolving any subsequent conflicts or disagreements which arise between buyer and seller. Certificate of Title Information: Buyer appoints Auction Impact, LLC as its agent to accept delivery of the properly executed, marketable state-issued Certificate of Title with recorded liens properly released. Buyer will be contacted the day of the auction via email regarding titling information. Auction Impact, LLC requires all title information including name(s) and complete address be communicated through email or any other written form, for our records. All titles will be endorsed as directed – no open titles will be issued. Title will be forwarded to the buyer via certified US Mail or equivalent no sooner than fourteen (14) days after receipt of complete payment, unless otherwise noted in item description, regardless of payment type. There is a $25 title processing fee, charged to the buyer, on all titled items. Auction Impact, LLC is not responsible for any lost titles. Tax, Licenses: All sales are subject to the sales tax and/or other applicable tax laws.Buyer assumes all responsibility for government issued licenses and/or inspection certificates as well as all required or associated licensing and inspection costs. Buyer agrees not to use any identification, trade name,licenses, and/or certificates belonging to or used by seller or Auction Impact, LLC. Sales Tax: The buyer is responsible for all applicable sales tax on items purchased in an Auction Impact, LLC Auction. Sales tax guidelines from the applicable state will be used to determine if an item is sales tax exempt. If the exempt determination is made, the buyer will be responsible for obtaining, completing, and forwarding all necessary forms from the taxing jurisdiction (e.g., city, county, state) to Auction Impact, LLC. All tax documentation must match the buyer’s account details and invoices cannot be changed after the auction has closed. Sales tax can only be cleared from the buyer’s invoice once all required forms have been completed, submitted, and validated. Sales tax or appropriate sales tax exemption forms are due within the 48-hour payment deadline. No items will be released to the buyer until payment is received in full by Auction Impact, LLC. Payment in full includes the payment of all applicable sales tax or the submission of all appropriate sales tax exemption forms. Legal Compliance: Users shall comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding their use of our service and their bidding on, listing, purchase, solicitation of offers to purchase and sale of items. User acknowledges and agrees that they are being provided with a non-exclusive, limited, and revocable license to make use of the services, which includes, without limitation, access to our site and online auction, and use of associated software. In making use of the services, you may have access to information that is confidential and proprietary to Auction Impact, LLC and/or its licensors, and may include trademarks, copyrights, and/or trade secrets. Users agree that they will not seek to reproduce, perform, display, distribute, copy, reverse engineer, decompile, disassemble, or prepare derivative works from any content that belongs to Auction Impact, LLC or is accessible from its sites, online auctions, or other services. Arbitration, Jurisdiction and Venue: Any legal action commenced by either party to resolve any dispute arising under this Agreement will be resolved only in the courts of the State of Indiana, County of Hamilton or in the courts of the United States of America for the District of Indiana, County of Hamilton. Each party irrevocably submits to the personal jurisdiction of such courts and hereby waives any and all objections as to venue, inconvenient forum, and the like. This agreement shall be governed in all respects by the laws of the State of Indiana as such laws are applied to agreements entered into and to be performed entirely within Indiana between Indiana residents. We do not guarantee continuous or uninterrupted, or secure access to our services, and operation of our site may be interfered with by numerous factors outside of our control. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this agreement and all incorporated agreements may be automatically assigned by Auction Impact in our sole discretion, to a third party, in the event of a merger or acquisition. Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. Auction Action, provides a venue and mechanism to bring buyers and sellers together over the Internet. Since we do not participate in the physical transaction between buyers and sellers, we do not have any control or assume responsibility for the quality, safety, or legality of the items advertised, the truth or accuracy of the listings, the ability of the sellers to sell items or the ability of buyers to buy items. Additionally we do not have control over whether buyers or sellers actually complete the transaction. Because user authentication on the Internet is difficult, we cannot confirm the identity of members and we take no responsibility for the validity of each member. By using the Service, you acknowledge that Auction Impact, LLC cannot possibly authenticate members validity and in the event of a dispute between members, you release Auction Impact, LLC, our partners, employees, and agents from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. Auction Impact, LLC may amend these terms and conditions at any time by posting the amended terms on our website.
