Sale Terms By submitting a bid on this item (the “Item”) owned by a member of the Spark Power group of companies (“Spark Power”), you confirm your agreement with the following terms (including any terms in the agreement between you and Aucto which are intended to benefit sellers on Aucto’s platform) on behalf of yourself, any legal entity affiliated with you, your heirs, agents, trustees, officers, directors, shareholders, and employees: 1. Your agreement for the purchase of the item is between you (as you have identified yourself when creating your account with this auction platform) and the Spark Power entity holding title to the Item. 2. Items sold by Spark Power are sold on a final, “AS IS, WHERE IS” basis. Spark Power will not accept the return of an Item under any circumstances. You are responsible for satisfying yourself as to the condition, location, fitness for any particular purpose, and/or specifications of any item prior to submitting your bid, and your bid submission is confirmation that you have performed all necessary inspections or waived your right to same. 3. Spark Power disclaims all representations and warranties, express or implied, oral or written, statutory or otherwise, with respect to the Item. By submitting a bid, you agree that this disclaimer supersedes any prior communication with any Spark Power employee or other person, and you confirm that you have independently verified any such communication through your own investigations. 4. If your bid is successful: a. Payment is due in accordance with Aucto’s Payment Terms, which you accepted when you placed your bid. These terms are available at Aucto.com b. Once your payment has been finalized and the sale is final, you are responsible for promptly removing the Item from its present location, at your sole expense, and you agree to indemnify Spark Power and its affiliates against any loss, claims, or demand arising from your removal of (or failure to promptly remove) such Item. Storage fees of $100/day (plus HST) apply to any Item which has not been removed within 10 business days of the auction date, and you agree that Spark Power may exercise a statutory and/or common law storage lien over any Item which has incurred storage fees. c. Spark Power will issue a Bill of Sale in its standard form, however such Bill of Sale is issued solely to facilitate the transfer of title to the Item, and your agreement with Spark Power is deemed to be comprised of these Sale Terms, together with the purchase price as determined by your highest successful bid, and any Bidder’s Terms which you accepted when you created your account which are intended to benefit Spark Power. d. You undertake to immediately transfer title to the Item into your name, and to indemnify Spark Power and its affiliates, agents, employees, officers, directors, and shareholders against any claim, loss, demand, or injury arising in respect of the Item prior to, and following, the transfer of such title.
